Capmont, under its Private Equity Strategy, has acquired a majority in Binetti S.p.A. (“Binetti” or the “Company”), a well-established Italian designer and manufacturer of wire harnesses for electrical and electronic systems and applications. This investment will enable Binetti Cablaggi to expand its activities with a strong market presence in Germany, in addition to its various production sites. The previous owners Mr. Almici and Mr. Saloni will retain a significant minority stake in the company and will actively participate in the further expansion of Binetti alongside Capmont over the next years.
Founded in 1987 and headquartered in Pian Camuno near Brescia (Italy), Binetti employs approx. 400 people and specializes in the sourcing, design and manufacturing of high-quality wiring harnesses for several industrial applications. The company stands out for its high-quality service to a stable customer base in non-automotive sectors, which seek tailored solutions at high quality and speed of delivery. Binetti is considered a hidden champion maintaining cost leadership in Italy through an exceptionally efficient operational setup with in-house production capabilities via its own manufacturing plants.
“We are delighted to partner up with the founders of Binetti and look forward to working with them to grow Binetti into a player with a European perspective” says Łukasz Gołębiewski, a Founding Partner at Capmont Private Equity. “The company is exceptionally well-positioned in the Italian market, boasting a best-in-class manufacturing set-up, making it a solid cornerstone in a fragmented sector that offers excellent opportunities to realize synergies through acquisitions,” says Rudi Facchini, Investment Director at Capmont Private Equity
This investment in Binetti is part of Capmont’s strategy to build a leading European wire harnessing platform through a combination of accelerated organic growth, enhanced professionalization of the organization as well as further add-on acquisitions. In this context, Binetti has already closed the acquisitions of Haas Kabeltechnik AG, a German designer and manufacturer of wire harnesses focusing on the end-markets of industrial machinery, sensor technology and HVAC as well as Neugebauer Group of Companies (consisting of Neugebauer GmbH and HID GmbH), the German designer and manufacturer of wire harnesses, particularly focused on industrial applications, commercial and special vehicles.
These transactions strengthen the Italian portfolio of Capmont, alongside Pinsami and Archimede S.p.A. (part of Iconia Group). Northern Italy represents a key investment region for Capmont, where Italian entrepreneurs can benefit from a partnership with Capmont to internationalize and develop new markets, accelerate growth organically and inorganically as well as structure the company and their succession through dedicated first and second level management hirings.
Capmont Private Equity has successfully placed the investment opportunity among institutional and semi-professional investors as part of its deal-by-deal program.
Capmont Private Equity was supported by LMCR Studio Legale as legal advisor in Italy, by Hager Partners Milano as financial and tax advisor in Italy, Fortlane Partners Italy as commercial advisor, Baker Tilly as financial, tax and legal advisor in Germany as well as Banca Popolare di Sondrio as financing bank, while the sellers of Binetti were advised by BPER as financial advisor and NPA studio legale as legal advisor.
