The key terms, as announced by the parties, are as follows. Telix will acquire 100 per cent of the shares in ITM for US$1.65 billion upfront on a cash- and debt-free basis. Up to an additional US$700 million may become payable on the achievement of specified regulatory and sales milestones for ITM-11 (177Lu-edotreotide), ITM’s lead therapeutic candidate for neuroendocrine tumors of the digestive tract and pancreas. On completion, ITM shareholders are expected to hold approximately 23.7 per cent of Telix.
Closing is expected by the end of Telix’s 2026 financial year. It remains subject to Telix shareholder approval, regulatory approvals and other customary closing conditions.
